印度公司注册后合规项目有哪些？

1、注资验资capital injection and filing FC-GPR 

注资需要在公司注册下来后60天内完成，60天内需颁发股份证书，在接下来的30天内应完成股份证书贴花

capital injection must be done within 60 days after incorporation；Within 60 days issue certificates；

with in next 30 days stamping should be done.

①　FDI declaration (from bank ) 注资申明信

②　KYC&FIRC（from bank）外国汇款证明

③　FC-GPR(central bank) 央行网上申报

④　CA Certificate CA证书

⑤　BR 董事会决议

⑥　List of shareholders 股东清单

2、地址填报 Form INC 22 

向各邦注册处备案公司的注册地址，公司注册后30天内完成填报

Notice of situation of registered office，With in 30days of incorporation of company

3、开业登记填报 Form INC 20A 

宣告公司开业，公司注册后180天内完成填报 Declaration for commencement of business Within 180 days of incorporation of company

4、股份证书贴花 Stamping of share certificates

股份证书下发后的30天内做贴花 Within 30 days of issue of share certificates

5、任命审计师填报 Form ADT-1

公司注册后首次任命审计师，必须在公司成立后30天内任命第一位审计师，并在接下来的15天内提交表格，随后的审计师将在股东周年大会上任命，并在股东周年大会上的15天之内提交表格。Appointment of auditor First auditor has to be appointed with in 30 days of incorporation and form be filed with in next 15 days of appointment，Subsequent Auditor is to be appointed in AGM and form be filed in 15 days of AGM

6、年度秘书维护服务Maintenance of Statutory Register ,Records and Minutes Book

公司日常维护费用，从新财年开始（4月1日开始，（通常每年编制一次））

• Register of Members会员名册

• Register of directors and key managerial personnel董事和主要管理人员的名册

• Register of charges

• Register of Renewed and Duplicate Share Certificates登记续期和重复的股票证书

• Minutes Books of Board of Director董事会会议记录

• Minutes Books of General meeting股东大会纪要

7、欠款和待收款申报表 Form DPT-3 

存款返还，6月30日截止申报 Return of deposits As of June 30

8、微小企业填报 Form MSME (按需要每年4月1日至9月30日期间填报For the period covering 1 April to 30 September )

微型或小型企业向注册处提交半年报税表的欠缴款项表格，每年10月31日 Form for furnishing half yearly return with the registrar in respect of outstanding payments to Micro or Small Enterprise. Deadline 31st October every year 

9、最终受益人填报BEN-2(按需 on demand)

向注册处申报实际受益人（SBO），自收到BEN-1声明之日起30天内 Return to the Registrar in respect of declaration of Significant Beneficial Owner (SBO).BEN -1 be submitted within 30days of acquiring significant beneficial ownership interest or any change there in.BEN -2 has to be filed within 30 days from the date of receipt of such declaration in BEN -1 .

10、财务申报表与年度申报表Form AOC -4 and Form MGT-7

财务报表备案表在年度股东大会召开后30天内，年度申报表在年度股东大会的60天内。Form for filing financial statement within 30days of AGM.Form for filing Annual Return with in 60 days of AGM.

11、董事变更申报 Form DIR -12

年度股东大会董事正式化表格（如有），需要在年度股东大会召开后30天内。Form for regularisation of Director in AGM,if any.Within 30days of AGM.

12、公司新起步计划申报表Form CFSS（按需要on need）

根据公司新起步计划（CFSS）签发豁免证明书，每年6月30日之前。The exemption certificate shall be issued according to the company's new start plan (CFSS) before June 30 of each year.

13、海外资产负债年报表申报FLA RETURN 

上一年度（包括本年度）接受国外直接投资（FDI）和/或在国外进行外国直接投资公司的申报，截止日期7月15日。Return for companies who have received Foreign direct investment (FDI) and/or made Foreign direct investment abroad in the previous year(s) including the current year。Due date 15th July 

14、外部商业借款申报ECB Return

借款人须每月通过一家授权交易一类银行向印度储备银行报告所有外部商业借款的交易，按月申报External Commercial Borrowings. Borrowers are required to report all ECB transactions to the RBI on a monthly basis through an AD Category – I Bank
